Ten Days that Changed Capitalism

It began with the Federal Reserve and the Treasury forcing the sale of Bear Stearns to J.P. Morgan Chase at what many regarded as a fire sale price. Even so, to induce JPM Chase to do the deal, the Fed agreed to take losses (or gains) on up to $29 billion of securities in Bear Stearns’ portfolio. After that, the Fed lent directly to Wall Street securities firms for the first time. Then, the Treasury Secretary pushed both Fannie Mae and Freddie Mac to raise capital that their boards didn’t want to raise in exchange for an increase in their leverage so that they could buy $200 billion more in mortgage-backed securities. Finally, the FHLB was allowed by its regulator to buy twice as many Fannie- and Freddie-blessed mortgage securities as previously permitted—more than $100 billion worth. Was all of this necessary and wise and what will be the consequences to the American taxpayer? Hear what our panel thinks.

Government-owned investment pools, known as Sovereign Wealth Funds, are currently larger than the total assets under management by hedge funds or private equity funds and are growing at a much faster pace than either. Investment by these funds in a wide range of key U.S. businesses is raising a host of concerns, ranging from investment protectionism, national security concerns and potential market distortions and volatility. This conference is being co-chaired by Paul N. Roth, Partner, Schulte Roth & Zabel LLP. Roth is the undisputed expert on hedge fund formation. An astounding one-third of all hedge funds nationwide work with SRZ. Mr. Roth serves on the National Association of Securities Dealers, Inc. (NASD) Legal Advisory Board and is vice chair of the Subcommittee on Private Investment Entities of the American Bar Association. In addition, he has served as the chair of the Committee on Securities Regulation of the Association of the Bar of the City of New York and is a past president of the Harvard Law School Association of New York City. Stephen Fraidin, Partner, Kirkland & Ellis LLP, is a co-chair of this conference. A leading practitioner in the merger and acquisitions arena, Mr. Fraidin’s practice includes the representation of major companies and investment groups, acquisitions, proxy contests and the representation of special committees and boards of directors regarding corporate governance and other matters. Mr. Fraidin has represented Forstmann Little & Co. since the creation of its leveraged buyout funds in a series of negotiated acquisitions and dispositions involving more than $30 billion, including its acquisition of Citadel Communications Corp.  He has also advised clients on numerous transactions including the following: Procter & Gamble Co. in a number of multibillion-dollar acquisitions; Northrop Grumman Corporation in its contested acquisition of Newport News Shipbuilding Inc.; and Gulfstream Aerospace Corporation in its merger with General Dynamics.

Mr. Fraidin has been a member of the board of directors, and he has also served as chairman of the Lawyers' Division of UJA-Federation of New York.  He is the 2002 recipient of the UJA's Joseph M.
